Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Voxly platform operated by Astra Properties LLC ("Voxly", "we", or "us"). By creating an account or using Voxly you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Voxly provides an AI-powered outbound dialer, answering, and lead-nurture platform for real estate professionals. The Service includes calling infrastructure, AI voice agents, CRM integrations, calendar booking, and related analytics.

2. Your Account & Lead Lists

You are solely responsible for the contact lists, leads, and phone numbers you upload or feed into Voxly. You represent and warrant that you have the legal right and any required consents to contact the individuals whose information you provide, including but not limited to compliance with the Telephone Consumer Protection Act (TCPA), the Do-Not-Call Registry, state autodialer laws, and any applicable recording-consent statutes.

3. Compliance Responsibilities

Voxly provides tooling, including DNC scrubbing and calling-window controls, but you are the caller of record. You are responsible for:

Having express written consent where required to contact leads;
Scrubbing against internal and federal Do-Not-Call lists;
Respecting state calling-hours (8:00 a.m.–9:00 p.m. local time at minimum);
Providing accurate caller-ID information;
Honoring opt-out requests immediately.

4. AI Disclosures & Call Recording

Voxly's AI agents identify themselves when required by law and follow a script that includes recording disclosure. You agree that Voxly may record calls placed through the Service for quality, training, debugging, and compliance purposes, and that you will not disable such disclosures.

5. Acceptable Use

You agree not to use Voxly to:

Place calls for purposes unrelated to lawful real estate business;
Harass, threaten, or defraud any person;
Spoof caller ID or otherwise disguise the origin of a call;
Call numbers you do not have a legitimate business reason to contact;
Upload malware, spam, or content that infringes any third-party right.

We may suspend or terminate your account for any violation, with or without notice.

6. Fees & Billing

Subscriptions are billed monthly in advance via Stripe. Dial-based overage fees are billed on the next monthly invoice. Fees are non-refundable except where required by law. Failed payments may result in automatic suspension of calling services. You authorize Voxly to charge the payment method on file for all fees and applicable taxes.

7. AI Output Disclaimer

Voxly's AI agents are probabilistic systems and may occasionally produce unexpected responses. You are responsible for reviewing the outputs — including appointments booked on your calendar, CRM updates, and call notes — and for the final handling of every lead. Voxly is not liable for any business decision made in reliance on AI output.

8. Intellectual Property

Voxly and all related software, models, prompts, and branding are and remain the property of Astra Properties LLC. You receive a limited, non-transferable, revocable license to use the Service during an active, paid subscription. Your lead data remains yours.

9. Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VOXLY DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXLY'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID VOXLY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL VOXLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA.

11. Indemnification

You agree to indemnify and hold Voxly harmless from any claim, damage, or expense (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your lead lists or the calls placed on your behalf, or (c) your violation of these Terms or applicable law, including the TCPA.

12. Termination

Either party may terminate the Service at any time. On termination, your access ends and we will provide a reasonable window to export your data. Sections 3, 5, 7, and 9–13 survive termination.

13. Governing Law

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Connecticut.

14. Changes

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least seven (7) days before taking effect.
